AFFILIATE AGREEMENT

1. PROGRAM

Affiliate will promote AutoReels Pro's subscription services and receive commissions for referred customers who purchase eligible plans.

2. COMMISSION

Affiliate will receive:

• A one-time commission of 10% of the referred customer's first paid subscription invoice (excluding taxes, discounts, refunds and chargebacks).
• A residual commission of 1% of the referred customer's monthly subscription fee for each subsequent month the customer remains active, paid only while Affiliate's account is current and in good standing.
• The residual rate increases to 1.5% per month once Affiliate has generated more than $50,000 in cumulative referred sales. The higher rate applies going forward from the month the threshold is met and is not applied retroactively.
• Commission is earned only if the referred customer's payment clears and is retained for 30 days; refunded, charged-back or cancelled payments void the related commission. No other bonuses, overrides or trailing payments are earned.

3. PORTAL ACCESS, SETUP FEE AND SUBSCRIPTION

Affiliate is granted limited access to the Affiliate portal — referral links, referred customer status, and commission statements only. Affiliate does not receive access to the internal agent back office, client records, lead databases, production tools, pricing configuration or any other internal system.

• A one-time, non-refundable setup fee is due before portal access is activated.
• A subscription of $25 per month is required to maintain portal access and remain eligible for commissions.
• If the monthly subscription lapses, portal access is suspended and residual commissions stop accruing until the account is brought current.

4. TRACKING

Referrals are tracked via unique affiliate links or coupon codes provided by Company. Company's tracking data is final and conclusive.

5. PAYMENTS

Commissions are paid monthly, approximately 15 days after the end of each month, via PayPal or other agreed method, with a minimum payout of $50.

6. PROHIBITED PROMOTION METHODS

Affiliate may not:

• Run misleading ads pretending to be AutoReels Pro.
• Use spam, unsolicited bulk email, or deceptive tactics.
• Bid on trademarked terms "AutoReels Pro" or close variations without written permission.

7. BRANDING

Affiliate may use approved logos and marketing assets provided by Company. Any modifications must be approved in writing.

8. TERM & TERMINATION

Either party may terminate this Agreement at any time with written notice. Company may withhold unpaid commissions in the event of fraud or violation of this Agreement.

9. INDEPENDENT CONTRACTOR

Affiliate is an independent contractor and not an employee or agent of Company.

10. LIMITATION OF LIABILITY

Company's total liability is limited to commissions earned but unpaid under this Agreement.

11. GOVERNING LAW

This Agreement is governed by the laws of the Republic of the Philippines.
