1. Introduction

Welcome to AutoReels Pro. These Terms and Conditions govern your use of our services, including our customer-acquisition campaign platform, production studio, lead-capture tools, and response services. By subscribing to or using our services, you agree to be bound by these terms.

Legal Entity: AutoReels Pro is operated by Fraijo Business Services, OPC, a One Person Corporation registered in the Republic of the Philippines, located at Floor 9 Ayala Central Bloc, Cebu City, Cebu, Philippines 6000.

2. AutoReels Video Services

2.1 Service Description

AutoReels Pro connects campaign strategy, commercial production, landing pages, lead capture, response workflows, appointments, and reporting. AI may automate production work; qualified conversations and complex sales work may be handled by people.

2.2 Subscription Plans

• Active Front Desk ($497/month): one monthly campaign connected to lead capture, response, and appointments
• Appointment Engine ($1,297/month): two managed campaigns, testing, qualification, and performance reporting
• Acquisition Department ($2,997/month): a managed multi-campaign operation with human follow-up and optimization
• Legacy and Studio Plans: customers retain only the scope shown in their signed order or checkout summary

2.3 Commitment Options

• Month-to-Month: Standard pricing, cancel anytime. No video ownership.
• 6-Month Commitment: 10% discount on monthly rate. No video ownership. Early cancellation subject to remaining balance.
• 12-Month Scale Commitment Paid Upfront: 20% discount on monthly rate. Full ownership is granted for qualifying delivered videos after the payment clears and remains paid. Early cancellation is subject to the remaining balance.

2.4 Content Generation

Videos are generated based on your business information and submitted briefs. We use AI to create fresh, relevant content. You may request revisions or provide additional direction as needed.

3. Intellectual Property & Licensing

3.1 Ownership

All video content created by AutoReels remains the intellectual property of AutoReels Pro unless otherwise agreed upon. This includes all videos, graphics, animations, music, voiceovers, and other creative elements produced as part of our service.

3.2 License Grant (Month-to-Month & 6-Month Plans)

While your subscription is active, you are granted a non-exclusive, non-transferable license to:

• Share and display videos on your social media platforms through our sharing tools
• Use videos for your business marketing purposes on approved platforms
• Preview videos within the AutoReels Pro dashboard

You may NOT download, save, copy, redistribute, sublicense, or claim ownership of videos produced under month-to-month or 6-month plans. Videos are delivered exclusively through our platform's sharing tools.

3.3 Video Ownership (Qualifying Annual Scale Commitment)

Scale subscribers who pay the qualifying 12-month commitment upfront are granted full ownership of delivered, approved videos produced during that paid period. This includes:

• The right to download and save videos permanently
• Full commercial usage rights with no attribution required
• The right to edit, modify, and repurpose video content
• Videos remain yours even after subscription ends

Video ownership is granted only when a 12-month Scale term is paid in full. Month-to-month, 6-month, and non-Scale accounts remain licensed, stream-only accounts. A refunded, reversed, or charged-back annual payment does not transfer ownership.

3.4 License Termination

Upon cancellation of a month-to-month or 6-month subscription, your license to use any videos created by AutoReels is automatically terminated. All videos shared through our platform will be removed from your connected social media accounts. You must cease using all AutoReels content within 30 days of cancellation.

3.5 Content Removal & Video Retention Policy

When a subscription is cancelled or an account is closed (except 12-month ownership plans), AutoReels Pro reserves the right to remove or revoke access to all videos previously shared to social media platforms through our services. You acknowledge and agree that continued use of our video content after account closure constitutes a violation of our intellectual property rights.

Completed Video Retention: Businesses cannot delete completed videos from their own libraries. AutoReels Pro retains completed work for quality assurance, billing records, restoration, dispute resolution, and intellectual-property enforcement. Unfinished drafts may be removed subject to the controls shown in the studio.

Administrator Access: AutoReels Pro administrators retain access to all video content at all times for quality assurance, dispute resolution, and intellectual property protection purposes.

3.6 Remote Revocation & Kill-Switch (Anti-Piracy Enforcement)

All AutoReels Pro videos — including those shared, embedded, posted, or distributed by you to any third-party platform (including but not limited to TikTok, Instagram, Facebook, YouTube, X/Twitter, LinkedIn, your own websites, and any other public or private channel) — are streamed exclusively from AutoReels Pro–controlled infrastructure via secure, revocable hosted links. You are not granted any standalone copy, file, or download of the video.

You acknowledge and agree that AutoReels Pro retains a unilateral, perpetual right to immediately disable, revoke, expire, or otherwise stop playback of any and all videos previously delivered to you, at any time, without notice, in any of the following events:

• Subscription cancellation, non-payment, lapse, downgrade, or chargeback
• Violation of these Terms — including unauthorized download, screen-recording, redistribution, sublicensing, or resale of video content
• Sharing video assets outside of the sharing tools and platforms provided within the AutoReels Pro dashboard
• Any breach of intellectual property rights or acceptable-use policy
• Account closure or termination for any reason

When revocation occurs, the video file behind every shared link will be made unavailable. Videos already posted to social media or embedded on third-party sites will stop playing and will display as broken, removed, or unavailable content. You agree not to attempt to circumvent this kill-switch through downloads, mirroring, re-uploading, screen-capture, or any other technical means. Any such circumvention constitutes willful infringement of AutoReels Pro's intellectual property and will be pursued under applicable copyright and contract law.

Exception — Paid-Upfront Annual Scale Ownership: Subscribers who have completed a qualifying 12-month Scale commitment and have been formally granted ownership under Section 3.3 are exempt from the kill-switch for videos delivered during that ownership period.

By using AutoReels Pro services, you expressly consent to this remote-revocation mechanism and waive any claim arising from the disabling or non-availability of revoked content.

Screen-capture limitation: We disable browser download controls, restrict file delivery, use private or expiring access where available, and may apply account-identifying watermarks and access logs. No website can guarantee that operating-system cameras or screen-recording software are technically impossible. Unauthorized capture remains prohibited by these Terms and may result in access revocation and enforcement.

3.6 No Duplication of the AutoReels Pro System

The AutoReels Pro platform, its workflows, campaign structures, templates, scripts, training materials, pricing structures, software, prompts, production methods, partner materials, and all related know-how are proprietary and confidential trade secrets. You may not copy, duplicate, reproduce, reverse engineer, resell outside the terms of your agreement, or rebuild — in whole or in part, directly or through any third party — the AutoReels Pro system or any substantially similar competing system.This restriction applies to customers, agencies, partners, affiliates, contractors, and staff, during the agreement and after it ends.

Restitution: Any violation of this section entitles AutoReels Pro to full restitution of 100% of the losses attributable to the violation, including lost revenue and lost profits, together with disgorgement of all revenue the violating party earned from the duplicated system, plus costs and attorneys' fees. AutoReels Pro may also seek immediate injunctive relief and terminate all access without refund.

4. Virtual Assistant Services

4.1 AI Phone Assistant Add-ons

AI-powered inbound call handling can be added to any AutoReels subscription:

• Starter Calls ($149/month): Up to 50 inbound calls per month
• Growth Calls ($297/month): Up to 200 inbound calls per month
• Scale Calls ($497/month): Unlimited inbound calls + priority

4.2 Live Virtual Assistant

Human virtual assistant services available at competitive rates:

• Month-to-Month: $11/hr
• 6-Month Contract: $9/hr (18% savings)
• 12-Month Contract: $8/hr (27% savings)

4.3 Outbound Lead Generation

For businesses requiring outbound calling with live agents:

• Setup Fee: $500 one-time (includes local area code, training for 2 agents, custom scripting, calendar/email integration)
• Additional Agent Training (4-10 agents): $450 per 2 agents
• Additional Agent Training (12+ agents): $350 per 2 agents

5. Billing & Payments

5.1 Subscription Billing

Subscriptions are billed monthly in advance. Your payment method will be automatically charged at the beginning of each billing period.

5.2 Commitment Plans

6-month and 12-month commitments are billed monthly at the discounted rate. Early cancellation of commitment plans may be subject to the remaining balance of the commitment period.

5.3 One-Time Fees

Setup fees, agent training fees, and other one-time fees are non-refundable once services have been rendered.

5.4 Refund Policy

Monthly subscription fees are non-refundable once the billing period has begun. If you cancel mid-month, you will continue to have access to services until the end of your current billing period.

6. Free Sample Video (Trial)

AutoReels Pro offers a free sample video for evaluation purposes only, with no credit card required. Sample videos are produced and delivered for in-dashboard preview so prospective customers can assess our quality before subscribing. By requesting a sample, you agree to the following:

• The sample video is for preview and evaluation only and may not be downloaded, screen-recorded, copied, redistributed, or posted to any external platform.
• The sample video remains the exclusive intellectual property of AutoReels Pro at all times.
• You have 7 days from delivery to activate a paid subscription. If no subscription is activated within that window, the sample video and all associated assets will be permanently and irrevocably deleted from our servers and from your account.
• Once a paid subscription is activated, the sample video becomes part of your active subscription library and is governed by the standard licensing terms in Section 3.
• AutoReels Pro reserves the right to refuse, revoke, or remove any sample video at our sole discretion.

7. Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

• Your service will continue until the end of the current billing period
• Your license to use AutoReels video content will terminate (except 12-month ownership plans)
• Videos shared through our platform may be removed from your social media accounts
• Virtual Assistant services will be deactivated
• You must cease using all licensed content immediately

8. Acceptable Use

You agree not to use our services to:

• Create content that is illegal, harmful, or violates third-party rights
• Misrepresent your identity or business
• Engage in spam, fraud, or deceptive practices
• Sublicense, resell, or redistribute our content without permission
• Attempt to download, screen-record, or otherwise capture video content without ownership rights
• Use AI call services for illegal telemarketing or harassment

9. Limitation of Liability

AutoReels Pro provides services "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability is limited to the amount you paid for services in the 30 days preceding any claim.

10. Changes to Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated via email or through your account dashboard. Continued use of our services after changes constitutes acceptance of the updated terms.
